The Company Secretary will advise and support IDR’s Board(s) on corporate law, finance, governance, strategy, and corporate secretarial practices. Through ensuring good information flows within the Board(s) and its committees and between senior management and non-executive directors. The Company Secretary will facilitate induction and assist with professional development across various jurisdictions as required. ​

 ​People:

  • Act as a point of contact, building and maintaining good relationships with shareholders across a range of jurisdictions, i.e., Guernsey, Luxembourg, South Africa, Mauritius, US. ​
  • Keep the Board(s) informed on shareholders’ views​.
  • Liaise with external regulators and advisers, such as lawyers and auditors​.

Process:

  • Overseeing the day-to-day administration of the companies, organising board meetings, preparing agendas and taking minutes.
  • Responsibility for maintaining the corporate calendar and governance framework​.
  • Train Directors and senior leadership team on corporate governance matters​.
  • Monitoring changes in relevant legislation and the regulatory environment​.
  • Ensuring the security of the company’s legal documents and that policies are up to date and approved.
  • Develop and oversee the systems that ensure that the companies comply with all applicable codes, in addition to their legal and statutory obligations​.
  • Navigate efficiently around IDR in support of your duties.​
  • Suggest technology improvements in pursuit of efficiency.​

Management:

  • Take responsibility for the administration and management of pension schemes and/or provident fund in the capacity as principal officer, trustee or chairperson​.
  • Assist the Board(s) in the conduct of the corporate affairs​.
  • Ensuring timely submission of all corporate filings.​

Key Result Areas:

  • Continuously improving systems and processes that are understood by all staff​.
  • Keeping up to date with any regulatory or statutory changes and policies that might affect the organisation​.
  • Managing office space and facilities​.

Target Qualifications:

  • A degree in finance, management, law, or relevant professional qualification.
  • Previous experience in corporate governance and law​.
